Terms & Conditions

Clutch Digital Development LLC — Effective date: October 14, 2026

1. Scope and agreement

These Terms and Conditions govern access to and use of the website and related online features provided by Clutch Digital Development LLC ("Clutch," "we," "us," or "our"). By using the website after being given reasonable notice of these Terms, you agree to them to the extent enforceable under applicable law. If you do not agree, do not use the website. You must be at least 18 and legally able to enter an agreement to purchase services. If acting for an organization, you represent that you are authorized to bind it.

Paid services are governed by the proposal, order form, statement of work, subscription terms, or other service agreement accepted by you and Clutch. If these Terms conflict with a signed or otherwise expressly accepted service agreement, that agreement controls for the relevant services. These website Terms do not change existing client agreements or create a paid engagement merely because you submit an inquiry.

2. Services and website information

Clutch offers custom websites, lead generation websites, landing pages and funnels, ecommerce development, SmartSites, prebuilt websites, search and multi-engine optimization, paid advertising, social media services, AI sales agents, CRM integrations, data aggregation, and automation. Availability and scope depend on the service selected and the applicable agreement.

Website descriptions, examples, estimated schedules, and displayed pricing are general information unless expressly incorporated into an accepted order. We may correct errors and update offerings. We will address material order errors with the purchaser before proceeding; website changes do not retroactively change an accepted service agreement.

3. Inquiries, strategy calls, and demonstrations

Submitting a contact or strategy call form requests follow-up. It does not automatically reserve an appointment, engage Clutch, authorize a charge, or guarantee that we will accept a project. Appointments are subject to confirmation. Demonstrations, sample websites, and calculators illustrate capabilities. Sample businesses, staff, testimonials, prices, contact details, and other demonstration content may be fictional and are not approved content for your business without review.

ROI calculators, projections, examples, and case studies do not promise comparable results. Estimates depend on inputs and assumptions. Actual performance depends on factors including your market, budget, offer, sales process, competition, third-party systems, and implementation.

4. Project scope and client responsibilities

The applicable service agreement defines deliverables, revisions, dependencies, milestones, approval processes, launch requirements, and support. Additional pages, features, integrations, content, or revisions outside the agreed scope may require a separately accepted change order and additional fees. Delivery estimates depend on timely materials, access, decisions, and approvals.

You are responsible for the accuracy and legality of materials, instructions, product information, business claims, and data you supply or approve. You must have the rights and permissions needed for us to use them. Provide access through authorized methods, protect credentials, and notify us of suspected unauthorized access. Before launch, review business details, functionality, offers, required disclosures, and regulated content relevant to your business.

5. Fees, payments, and recurring services

Fees, deposits, payment schedules, taxes, usage charges, advertising spend, third-party costs, and any payment authorization are stated in the applicable order or service agreement. These Terms do not authorize charges to a payment method. Any recurring charge requires the applicable disclosures and authorization. The billing frequency, renewal terms, and cancellation method must be provided when you enroll.

Hosting, CRM access, AI usage, telephone numbers, messaging, integrations, licenses, and advertising may involve separate recurring or usage-based charges when disclosed and accepted. Advertising spend is separate from management fees unless your agreement says otherwise. Cancellation, refunds, credits, late payment consequences, suspension, and transition obligations follow the accepted agreement and applicable law. Contact sales@clutchdd.com with billing questions.

6. Prebuilt websites and SmartSites

A prebuilt website or SmartSite begins with an existing design or framework that may be offered to multiple customers. Buying a customization or implementation does not grant exclusive rights to the underlying template, reusable components, or demonstration assets. Included branding changes, pages, content work, CRM setup, forms, booking features, integrations, hosting, and support are limited to the accepted package.

Unless the accepted purchase terms state otherwise, prebuilt website purchases are non-refundable once the build process has begun, to the extent permitted by law. This policy must be disclosed before purchase and does not limit non-waivable rights or remedies for services we fail to provide as agreed. Any cancellation or refund before work begins is governed by the accepted purchase terms. Launch estimates depend on receiving required materials, approvals, access, and third-party availability.

7. Ownership, licenses, and client materials

Clutch or its licensors retain rights in this website, branding, original content, software, templates, frameworks, reusable code, tools, methods, and pre-existing materials. You may use the public website for ordinary informational and business inquiry purposes. You may not copy, resell, redistribute, or commercially exploit protected material without permission, except as permitted by law.

Ownership or licensing of custom client deliverables is determined by the service agreement and any applicable payment requirements. Payment does not automatically transfer third-party licenses, underlying platforms, reusable technology, or assets that cannot legally be assigned. The agreement should specify any license needed to use retained components within the delivered work.

You retain rights in materials you provide and grant Clutch the permissions reasonably necessary to perform the agreed services. These website Terms do not grant Clutch permission to publish confidential client information, use a client's logo as an endorsement, or add client materials to a public portfolio without a separate applicable authorization.

8. Marketing, audience data, and communication compliance

Clutch does not guarantee search rankings, AI citations, traffic levels, lead volume or quality, advertising approvals, sales, revenue, or a particular return on investment unless an express written agreement provides a specific commitment and remedy. Algorithms, advertising policies, and marketplace conditions can change.

You must use audience data, CRM records, campaigns, and outreach tools only as permitted by applicable law, platform rules, data licenses, and the service agreement. You must have a lawful basis and required notices, permissions, and consents for information you provide or instruct us to use. Audience membership, buying intent, public availability, a business relationship, or possession of a telephone number does not by itself establish consent to automated marketing calls or texts.

Each party remains responsible for its own legal obligations. Client responsibilities do not waive Clutch's duties. Required consent records, suppression lists, unsubscribe methods, recording notices, and data handling responsibilities should be specified for the engagement. Do not use the services to unlawfully discriminate, target protected sensitive information, impersonate people, or send deceptive or unlawful communications.

9. AI features and human oversight

AI agents and other automated features may generate text, voice, summaries, recommendations, classifications, or CRM updates. Outputs may be inaccurate, incomplete, or unsuitable for a particular situation. Review important outputs and use human oversight appropriate to the task. An AI demonstration or conversation does not bind Clutch to a price, guarantee, contract change, or other commitment unless an authorized representative confirms it.

Do not use general-purpose AI features for emergencies or as a substitute for qualified legal, medical, financial, or other professional advice. Do not provide sensitive or regulated information unless its handling has been expressly agreed with suitable safeguards. AI provider availability, usage limits, data practices, and feature behavior may affect the service.

10. Marketing calls and text messaging

Where you separately opt in, Clutch may send service-related or marketing messages within the scope of your consent by the disclosed channels, including texts and artificial, prerecorded, or AI-generated voice calls. Consent to marketing is not required to purchase. Acceptance of these Terms alone is not consent to marketing calls or texts.

Message frequency varies. Message and data rates may apply. Reply STOP to stop texts or HELP for assistance. You may also contact sales@clutchdd.com or 833-725-8824 to request help, stop marketing calls, or revoke consent through a reasonable method. We honor withdrawal requests as required by law. Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed. You represent that you are authorized to provide the contact details you submit and will notify us if they change. Our Privacy Policy describes how we handle communication records and mobile opt-in information.

11. Accounts, third-party services, and availability

Where account features are offered, use accurate information, protect credentials, and use only accounts and systems you are authorized to access. Third-party hosting, payment, CRM, telecommunications, advertising, AI, scheduling, and software providers may impose their own terms, fees, restrictions, and privacy practices. Their services can change or become unavailable. We do not control third-party systems or warrant uninterrupted availability.

Maintenance, response times, backups, data exports, migration, and service continuity commitments are governed by the relevant service agreement. Do not assume indefinite retention or free migration. Neither party's obligations under an accepted agreement are removed by a general third-party disclaimer in these Terms.

12. Acceptable use

Do not use the website or services to violate law or another person's rights; transmit malware; conduct fraud, harassment, phishing, or unlawful spam; bypass security or access controls; disrupt operations; or collect personal information without authorization. Do not represent AI output or demonstration content as verified fact where doing so would be misleading. Automated access must respect applicable permissions and must not impair the website.

We may restrict access where reasonably necessary to address abuse, security risks, legal requirements, or material violations. Paid-service suspension and termination are governed by the applicable agreement, including any notice and cure requirements. Security action does not extinguish non-waivable rights or accrued contractual obligations.

13. Disclaimers and limits of liability

To the extent permitted by law, the public website, informational content, demonstrations, and calculators are provided "as available" and "as is," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. This paragraph does not negate an express warranty in an accepted service agreement or a warranty that law does not allow us to exclude.

To the extent permitted by law, neither party is liable under these website Terms for indirect, incidental, special, consequential, or punitive damages arising from use of the website. For a paid-service claim, any liability limit in the accepted service agreement controls. If that agreement contains no liability limit, Clutch's total liability for claims arising from the particular service will not exceed the amount paid to Clutch for the service giving rise to the claim, to the extent permitted by law.

Nothing in these Terms excludes liability for fraud, willful misconduct, gross negligence where it cannot lawfully be excluded, or any liability or remedy that applicable law does not permit the parties to limit. Mandatory consumer protections remain in effect.

14. Privacy, governing law, and general terms

Our Privacy Policy explains our handling of personal information. Privacy disclosures do not authorize processing that requires separate consent. Subject to mandatory laws that apply to you and any controlling service agreement, these Terms are governed by Michigan law, excluding conflict-of-law rules. Any court proceeding must be brought in a court with proper jurisdiction and venue under applicable law. No mandatory arbitration or class-action waiver is imposed by these website Terms.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver. We may revise these Terms by posting an updated version and effective date, with additional notice where required. Material changes to paid-service obligations require the process specified in the accepted agreement and applicable law; posting website Terms alone does not amend that agreement retroactively.
